Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Louis, an AI-assisted legal research tool provided by Louis AI(“Louis”, “we”, “us” or “our”).
By creating an account, starting a subscription, or using Louis, you agree to these Terms. If you use Louis on behalf of a firm, company, or organisation, you confirm that you have authority to bind that organisation, and “you” refers to both you and that organisation.
What Louis is — and is not
Louis is an AI-assisted legal research tool. It searches selected UK legal sources and documents you upload, and generates research outputs with citations back to sources.
Louis does not provide legal advice. Louis is not a law firm, solicitor, barrister, legal adviser, or regulated legal services provider. Use of Louis does not create a solicitor-client, barrister-client, adviser-client, fiduciary, or other professional relationship between you and Louis AI.
Outputs may be incomplete, outdated, inaccurate, or incorrectly characterised, even where they cite a real source. You are responsible for independently checking all outputs against the cited sources and exercising your own professional judgment.
You must not rely on Louis as the sole basis for advising a client, making a legal decision, filing a document, or taking or refraining from action. Any output intended for client use, court use, tribunal use, regulatory use, or other professional reliance must be reviewed by a qualified legal professional.
Accounts and eligibility
You must provide accurate information when registering and keep your account details up to date.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You must be at least 18 years old and use Louis only for lawful professional, business, academic, or research purposes.
We may suspend or terminate your account if we reasonably believe you have breached these Terms, created a security risk, misused the service, failed to pay fees, or attempted to circumvent usage limits.
Subscriptions and billing
Paid plans are billed in advance on a recurring basis, either monthly or annually depending on the plan you select. Payments are processed by a third-party payment provider. We do not store full card details.
Fees are non-refundable except where required by law or expressly stated at the point of purchase.
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
We may change our pricing or plan features on a going-forward basis. Where a change materially affects your current paid plan, we will provide reasonable notice before it applies to your next billing cycle.
Your content
You retain ownership of documents, prompts, queries, and other materials you submit to Louis (“your content”).
You grant us a limited licence to process your content only as necessary to provide, maintain, secure, and improve Louis, including searching, reading, analysing, storing, and generating outputs from your content.
We do not use your content to train underlying third-party AI models.
You are responsible for ensuring that you have the right to upload and process your content through Louis. You must not upload anything unlawful, malicious, infringing, or that you do not have permission to use.
Confidentiality and data handling
We will take reasonable steps to protect your content and treat uploaded documents and queries as confidential, subject to these Terms and our Privacy Policy.
Louis may use third-party AI, hosting, infrastructure, analytics, payment, and search providers to operate the service. Those providers may process your content and usage data only as needed to provide their services to us, subject to applicable contractual and legal safeguards.

Acceptable use
You agree not to:
- use Louis to generate or distribute misleading legal content;
- represent Louis output as advice from a qualified legal professional unless it has been independently reviewed and adopted by one;
- use Louis for unlawful, fraudulent, harmful, or abusive purposes;
- upload malware or attempt to interfere with the security, availability, or integrity of the service;
- reverse-engineer, scrape, copy, or extract the underlying models, prompts, datasets, systems, or source curation;
- use automated means to access Louis except through an API or integration we expressly provide;
- resell, sublicense, or commercially exploit access to Louis without our written consent; or
- use Louis in a way that infringes the rights of Louis AI, other users, or third parties.
Service availability and changes
Louis is an evolving product. We may add, change, limit, suspend, or remove features from time to time.
We do not guarantee that Louis will be uninterrupted, error-free, secure, or available at all times. We may temporarily suspend access for maintenance, security, operational, legal, or abuse-prevention reasons.
Intellectual property
Louis, including its software, interface, design, branding, prompts, workflows, and selection and arrangement of source curation, is owned by Louis AI or its licensors.
These Terms do not grant you any rights in our technology, branding, trademarks, or intellectual property except the limited right to use Louis in accordance with these Terms.
Underlying legal materials, including legislation, case law, official guidance, and other third-party sources, remain subject to their own copyright, licensing, and usage terms.
If you provide feedback, suggestions, or ideas about Louis, we may use them without restriction or obligation to compensate you.
Disclaimers
Louis is provided “as is” and “as available”.
To the maximum extent permitted by law, we disclaim all warranties, representations, and conditions, whether express or implied, including accuracy, completeness, currency, reliability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
We do not warrant that any output will be legally correct, complete, current, suitable for your matter, or correctly characterised. You are responsible for verifying all outputs before relying on them.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under the laws of England and Wales.
Limitation of liability
To the maximum extent permitted by law, Louis AI will not be liable for indirect, incidental, special, consequential, punitive, or exemplary losses, or for loss of profits, revenue, business, goodwill, data, or anticipated savings.
This includes losses arising from reliance on Louis outputs without independent verification.
Subject to any liability that cannot legally be excluded or limited, our total liability arising out of or relating to these Terms or the service will not exceed the greater of:
- (a) the amount you paid us in the 12 months before the claim arose; or
- (b) £100.
Indemnity
You agree to indemnify and hold harmless Louis AI from and against claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from:
- your breach of these Terms;
- your content;
- your misuse of Louis;
- your infringement of third-party rights; or
- your reliance on Louis outputs without the independent verification required by these Terms.
Termination
You may stop using Louis and close your account at any time.
We may suspend or terminate your access if you breach these Terms, fail to pay fees, misuse the service, create legal or security risk, or if we discontinue Louis.
Where reasonably practicable, we will provide notice before termination. We may act immediately where necessary for security, legal, fraud-prevention, or abuse-prevention reasons.
Sections that by their nature should survive termination will continue to apply, including ownership, confidentiality, disclaimers, limitation of liability, indemnity, and governing law.
Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date.
For material changes, we will provide reasonable notice, such as by email or in-product notice.
Your continued use of Louis after the updated Terms take effect means you accept the updated Terms.
General
We may assign or transfer our rights and obligations under these Terms as part of a merger, acquisition, restructuring, sale of assets, or by operation of law. You may not assign your rights or obligations without our prior written consent.
If any part of these Terms is found to be invalid or unenforceable, the remaining parts will continue in effect.
Our failure to enforce any part of these Terms is not a waiver of our right to do so later.
These Terms do not create any partnership, agency, employment, joint venture, or legal representative relationship between you and Louis AI.
Governing law and disputes
These Terms are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of Louis, subject to any mandatory rights that apply under your local law.
